Terms of Service

Effective Date: January 1, 2025

1. Acceptance of Terms

By accessing or using Content Base ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Content Base.

If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Content Base is a personal knowledge management service that allows you to:

  • Store and organize your content (articles, notes, transcripts, etc.)
  • Search your content using AI-powered semantic search
  • Access your content via API and MCP (Model Context Protocol)
  • Connect your content base to AI assistants like Claude and ChatGPT

We reserve the right to modify, suspend, or discontinue features at any time with reasonable notice.

3. Account Registration

To use Content Base, you must:

  • Create an account with a valid email address
  • Provide accurate and complete information
  • Keep your login credentials secure and confidential
  • Be at least 16 years old (or 13 in the US with parental consent)
  • Notify us immediately of any unauthorized account access

You are solely responsible for all activity that occurs under your account, including actions taken via your API keys.

4. Subscription and Billing

Content Base is a paid subscription service with a free trial:

  • Free Trial: New users receive a 14-day free trial with full access
  • Payment Method: A valid payment method is required to start your trial
  • Billing: After your trial ends, you are automatically billed $200/year
  • Payment: Payment is processed securely through Lemon Squeezy
  • Renewal: Subscriptions automatically renew annually unless cancelled
  • Cancellation: You can cancel at any time through billing settings
  • Access After Cancellation: You retain access until the end of your billing period

4.1 Free Trial

Your 14-day free trial includes full access to all features. You may cancel at any time during the trial period and will not be charged. If you do not cancel before the trial ends, your payment method will be automatically charged for the annual subscription.

4.2 Refund Policy

Since we offer a 14-day free trial, we generally do not offer refunds after payment. If you have an exceptional circumstance, contact us at [email protected].

4.3 Usage Limits

Your subscription includes storage for up to 50,000 content chunks and up to 5 API keys. Excessive usage beyond reasonable limits may result in throttling or suspension.

5. Acceptable Use

You agree not to use Content Base to:

  • Store or distribute illegal, harmful, or objectionable content
  • Violate intellectual property rights of others
  • Attempt to access other users' data or accounts
  • Probe, scan, or test the vulnerability of our systems
  • Overload, flood, or disrupt the service
  • Use automated systems to abuse the service or circumvent rate limits
  • Resell, redistribute, or sublicense access to the service
  • Use the service for any purpose that violates applicable law

We reserve the right to remove content or suspend accounts that violate these terms.

6. Your Content

6.1 Ownership

You retain all ownership rights to content you upload to Content Base. We do not claim ownership of your content.

6.2 License to Us

By uploading content, you grant us a limited, non-exclusive, worldwide license to:

  • Store and process your content to provide the service
  • Create vector embeddings for semantic search functionality
  • Transmit your content to third-party providers (OpenAI for embeddings)
  • Access and import content from connected third-party services (like Google Drive) that you authorize

This license terminates when you delete your content or account.

6.3 Your Responsibilities

  • You are responsible for ensuring you have the right to upload any content
  • You are responsible for maintaining backups of your content
  • You can delete your content at any time through the dashboard

6.4 AI Training

We do not use your content to train AI models. Your content is only processed to generate embeddings for search functionality and is not shared with third parties for model training purposes.

7. API Access

Your subscription includes API access subject to the following:

  • You may create up to 5 API keys per account
  • API keys must be kept secure and not shared publicly
  • Usage is subject to rate limits (see documentation for current limits)
  • You are responsible for all actions performed using your API keys
  • We may suspend API access if we detect abuse or excessive usage

Compromised API keys should be revoked immediately through your account settings.

8. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Content Base and protected by intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices
  • Use our trademarks without written permission

9. Termination

9.1 By You

You may cancel your subscription at any time through the billing settings. You may also request account deletion through account settings or by contacting support.

9.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms of Service
  • Your payment fails and is not resolved within 14 days
  • We detect fraudulent, abusive, or illegal activity
  • Required by law or to protect the rights of others

9.3 Effect of Termination

Upon termination, your right to access the Service ends. If you cancel your subscription, you retain access until the end of your current billing period.

9.4 Data Retention After Subscription Ends

Important: After your subscription ends (whether by cancellation, trial expiration, non-payment, or refund), your stored content will be automatically and permanently deleted after 30 days.

  • We will send you a warning email before deletion occurs
  • Your account and connected source integrations remain intact for easy reactivation
  • If you resubscribe within 30 days, your data is preserved
  • After 30 days, deletion is permanent and cannot be undone

We recommend exporting or backing up any important content before your subscription ends.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Search results will always be accurate or complete
  • Defects will be corrected in any particular timeframe
  • The Service will meet your specific requirements

You use the Service at your own risk. We recommend maintaining backups of important content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTENT BASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Liability Cap: Our total liability for any claims arising from or related to the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Content Base and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you upload to the Service.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to respond within 30 days.

13.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in Delaware, United States. You consent to the personal jurisdiction of such courts.

14. Changes to Terms

We may update these Terms from time to time. When we make changes:

  • We will update the "Effective Date" at the top of this page
  • For material changes, we will notify you via email at least 30 days in advance
  • Continued use of the Service after changes constitutes acceptance
  • If you disagree with changes, you may cancel your subscription before they take effect

15. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Content Base.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
